Affiliate Programme Terms
These terms govern participation in the UNICONS Affiliate Programme, setting out eligibility criteria, how referral tracking and payments work, marketing standards, prohibited conduct, student protection obligations, and the consequences of breach.
1. Introduction and Parties
These Affiliate Programme Terms ("Terms") govern participation in the UNICONS Affiliate Programme (the "Programme") operated by LOPEX UNICONS LTD, a company incorporated in England and Wales, trading as UNICONS, whose registered office is at 214 High Street, Second Floor, Hounslow, TW3 1HB, London, United Kingdom ("UNICONS", "we", "us", "our").
By registering as an affiliate, clicking the acceptance button on the UNICONS Platform, or commencing any referral activity in connection with UNICONS, you ("Affiliate", "you", "your") confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not participate in the Programme.
The Programme is designed to enable eligible individuals and organisations to introduce prospective students to the UNICONS platform in an ethical, transparent, and lawful manner, in exchange for referral payments as set out in the individual Affiliate Agreement executed between UNICONS and the Affiliate.
These Terms shall be read in conjunction with any separately executed Affiliate Agreement specifying the referral payment structure applicable to a particular Affiliate. In the event of conflict, the Affiliate Agreement shall prevail over these Terms in respect of payment terms only; in all other respects these Terms shall prevail.

2. Affiliate Eligibility and Approval
2.1 Who May Apply. The Programme is open to individuals (aged 18 or over) and organisations (including companies, partnerships, sole traders, and not-for-profit entities) who have a genuine interest in referring prospective students to the UNICONS platform. UNICONS may accept or decline any application to join the Programme at its absolute discretion, without being required to give reasons.
2.2 Exclusions. The following are not eligible to participate in the Programme:
(a) Direct Competitors: Any individual or organisation that operates, manages, or is materially involved in a business that directly competes with UNICONS in the provision of international student recruitment, education consultancy, or student placement services, without UNICONS's prior written consent;
(b) Previously Terminated Affiliates: Any individual or organisation whose Affiliate status has been terminated by UNICONS for breach of these Terms shall not be eligible to re-apply without UNICONS's express written consent;
(c) Persons Lacking Capacity: Any individual who lacks legal capacity to enter into a binding contract under the laws of their jurisdiction of residence; and
(d) Sanctioned Parties: Any individual or organisation that is subject to applicable financial sanctions, export controls, or anti-money laundering measures in the United Kingdom or in any other relevant jurisdiction.
2.3 Application and Onboarding. To participate in the Programme, an applicant must complete the UNICONS Affiliate application process, including providing accurate information about their identity, contact details, business activities, target audience, and proposed referral methods. UNICONS may request additional information or supporting documentation as part of the approval process.
2.4 No Employment Relationship. Affiliates are independent contractors. Nothing in these Terms shall create a partnership, joint venture, agency, employment, or franchise relationship between UNICONS and the Affiliate. Affiliates have no authority to bind UNICONS contractually or to make representations on UNICONS's behalf.
3. Referral Process, Tracking, and Attribution
3.1 Referral Links and Codes. Upon approval, UNICONS shall provide the Affiliate with a unique tracked referral link or referral code ("Referral Link") for use in promotional and marketing activities. The Affiliate shall use only the Referral Link assigned to them by UNICONS and shall not use, share, or promote any other affiliate's referral link.
3.2 Attribution Window. A referral shall be attributed to the Affiliate where a Prospective Student clicks the Affiliate's Referral Link (or enters the Affiliate's referral code during registration) and subsequently completes a registration on the UNICONS Platform within the attribution window specified in the Affiliate Agreement. Where no attribution window is specified, the default attribution window shall be thirty (30) calendar days from the date of the first click on the Referral Link. Attribution is based on the first-click model unless otherwise specified in the Affiliate Agreement.
3.3 Tracking Technology. UNICONS uses cookies and tracking technology to attribute referrals to Affiliates. The Affiliate acknowledges that tracking may be affected by a user's browser settings, cookie consent preferences, or the use of private browsing mode, and that UNICONS cannot guarantee the attribution of all referrals. UNICONS's determination of attribution based on its tracking data shall be final, subject to the dispute resolution process in clause 9.
3.4 Self-Referrals Prohibited. Affiliates are not permitted to use their own Referral Link or code to refer themselves or members of their immediate household, nor to create accounts or submit applications on behalf of others using their own Referral Link. Any commission earned on a self-referral shall be void and may be reclaimed by UNICONS.
3.5 Accurate Registration. The Affiliate shall ensure that all prospective students they refer are aware that they are being introduced to UNICONS via an affiliate and shall not conceal the commercial nature of the referral relationship from any individual they refer.
4. Qualifying Referrals
4.1 Definition of Qualifying Referral. A referral shall be treated as a qualifying referral ("Qualifying Referral") for the purpose of referral payment eligibility only where all of the following conditions are met:
(a) The Prospective Student accessed the UNICONS Platform via the Affiliate's Referral Link or entered the Affiliate's referral code during registration, and the attribution window was active at the time of registration;
(b) The Prospective Student has completed a full registration on the UNICONS Platform, including providing all required identity and contact details and confirming acceptance of UNICONS's Student Terms and Conditions;
(c) The Prospective Student has submitted at least one complete application through the UNICONS Platform to a Partner Institution; and
(d) The Prospective Student's registration and application are genuine and have not been procured through any prohibited conduct described in clause 6 of these Terms.
4.2 Enrolment Requirement. Referral payments shall only become payable upon the Prospective Student completing a successful enrolment at a Partner Institution through the UNICONS Platform, as further specified in the Affiliate Agreement. Registration on the UNICONS Platform alone does not give rise to a payment entitlement.
4.3 Deferred Enrolments. Where a Prospective Student referred by the Affiliate defers their intended enrolment to a later intake period, the Qualifying Referral status shall be maintained provided the student ultimately enrols within twelve (12) months of the original attribution date.
5. Referral Payments
5.1 Payment Structure. The referral payment structure applicable to each Affiliate shall be as set out in the individual Affiliate Agreement executed between UNICONS and the Affiliate. Referral payment amounts may vary by partner institution, programme type, course level, student nationality, and intake period, as specified in the Affiliate Agreement.
5.2 No Guaranteed Payment. Participation in the Programme does not guarantee any minimum referral income. UNICONS makes no representation regarding the number of Qualifying Referrals that may be achieved, and no payment shall be due under these Terms or any Affiliate Agreement unless and until a fully Qualifying Referral, as defined in clause 4, is confirmed.
5.3 Payment Timing. Referral payments shall be made by UNICONS following confirmation of student enrolment, normally within sixty (60) days of UNICONS receiving the corresponding commission payment from the Partner Institution in respect of the referred student's enrolment.
5.4 Currency and Method. Unless otherwise agreed, referral payments shall be made in Pounds Sterling (GBP) by bank transfer to the bank account details provided by the Affiliate. The Affiliate is responsible for ensuring that their bank account details are accurate and up to date. UNICONS shall not be liable for payments made in good faith to incorrect account details provided by the Affiliate.
5.5 Tax Obligations. Affiliates are solely responsible for declaring and paying all taxes, national insurance contributions, and other levies applicable to referral payments received under the Programme in their jurisdiction of residence or business registration. UNICONS shall not deduct income tax or national insurance from referral payments unless required to do so by applicable law.
5.6 VAT. Where an Affiliate is VAT-registered and is required to charge VAT on referral services under applicable law, the Affiliate shall provide UNICONS with a valid VAT invoice and their VAT registration number. UNICONS shall pay the applicable VAT in addition to the agreed referral payment.
6. Marketing Standards and Permitted Conduct
6.1 Truthful and Accurate Promotion. Affiliates shall only promote UNICONS using truthful, accurate, and up-to-date information. All marketing and promotional materials produced by Affiliates in connection with UNICONS shall: (a) accurately describe UNICONS's services as an education consultancy and student placement platform; (b) not misrepresent the nature, scope, fees, or outcomes of UNICONS's services; (c) clearly identify any paid or affiliate relationship where required by the CAP Code (Committee of Advertising Practice) or equivalent advertising standards; and (d) comply with all applicable UK and international advertising standards and consumer protection laws.
6.2 No Guaranteed Admission Claims. Affiliates shall not represent, imply, or suggest to any prospective student that UNICONS can guarantee admission to any particular university, course, or programme, or that using UNICONS's services guarantees a visa, scholarship, or any other outcome. All statements about admissions outcomes must be qualified and accurate.
6.3 No Spam or Unsolicited Marketing. Affiliates shall not send unsolicited commercial communications (spam) by email, SMS, social media direct message, or any other electronic channel to individuals who have not given their prior consent to receive such communications, in accordance with the Privacy and Electronic Communications Regulations 2003 (PECR) and applicable data protection law.
6.4 Social Media and Online Advertising. Affiliates who promote UNICONS via social media or online advertising platforms shall comply with the policies of those platforms and with the ASA/CAP Code on advertising disclosure. Paid social media promotions must be clearly labelled as advertising (e.g., "#ad" or "#sponsored") in accordance with ASA guidance.
6.5 Approval of Materials. Affiliates wishing to use UNICONS branding, logos, or registered trademarks in marketing materials must obtain prior written approval from UNICONS. UNICONS shall provide Affiliates with an approved set of brand assets and guidelines, and Affiliates shall not alter, adapt, or modify these assets without written consent.
7. Prohibited Conduct
7.1 Prohibited Activities. The following conduct is strictly prohibited and shall constitute a material breach of these Terms:
(a) Cold-Calling and Doorstep Solicitation: Affiliates shall not engage in unsolicited telephone calls (cold-calling) or doorstep solicitation to promote UNICONS's services to prospective students, or to recruit individuals into the Programme.
(b) Unsolicited Messaging: Affiliates shall not send unsolicited messages via WhatsApp, Facebook Messenger, Instagram Direct, or any other messaging platform to individuals who have not provided prior consent to receive promotional messages relating to UNICONS.
(c) Collecting Fees from Students: Affiliates shall not charge, request, or accept any fee, commission, payment, gift, or other benefit from any prospective student in connection with an introduction to UNICONS or in connection with any aspect of the student's application process through UNICONS. UNICONS is a free-to-student service, and Affiliates shall represent it as such.
(d) Misrepresentation of Services: Affiliates shall not make false, misleading, or exaggerated representations about UNICONS's services, partner institutions, admission success rates, or outcomes.
(e) Use of Third-Party Branding Without Consent: Affiliates shall not use the name, logo, or branding of any university, college, or other educational institution in connection with UNICONS promotional materials without the prior written consent of both UNICONS and the relevant institution.
(f) Incentivised or Fraudulent Referrals: Affiliates shall not offer financial or other incentives to prospective students in exchange for registering on the UNICONS Platform or submitting an application through the Platform. Affiliates shall not submit or assist in the submission of fraudulent, duplicate, or fictitious registrations or applications.
(g) Data Harvesting: Affiliates shall not collect, harvest, or process the personal data of prospective students for any purpose other than referring them to UNICONS via the Referral Link, and shall not use student personal data for any other commercial purpose.
8. Student Protection
8.1 Duty of Care. Affiliates acknowledge that many prospective students may be in a vulnerable position — including young people, individuals from under-represented socioeconomic backgrounds, individuals with limited English proficiency, and individuals who may be subject to pressure from family, community, or other external sources regarding their education choices. Affiliates shall at all times treat prospective students with dignity and respect and shall not exploit any vulnerability in order to obtain a referral.
8.2 Prohibition on Exploitation. Affiliates shall not: (a) use high-pressure sales tactics, emotional manipulation, or coercion to induce prospective students to register on the UNICONS Platform or submit an application; (b) make representations about visa outcomes, immigration status, or the right to work in the United Kingdom that the Affiliate knows to be false or misleading; (c) encourage a student to apply for a programme that is clearly unsuitable for the student's academic background, financial circumstances, or genuine intentions; or (d) withhold relevant information from a prospective student that would be material to their decision to use UNICONS's services.
8.3 Referral to UNICONS Counsellors. Where a prospective student requires detailed guidance on course selection, visa requirements, financial planning, or other matters beyond the Affiliate's expertise or scope of activity, the Affiliate shall direct the student to UNICONS's professional counselling team and shall not attempt to provide such advice themselves.
8.4 Reporting Concerns. If an Affiliate becomes aware of any conduct by another affiliate, agent, or third party that may be exploitative, fraudulent, or contrary to these Terms, the Affiliate is encouraged to report this to UNICONS at enquiry@unicons.co.uk.
9. Compliance Obligations
9.1 Anti-Bribery and Corruption. Affiliates shall comply with all applicable anti-bribery and anti-corruption laws, including the Bribery Act 2010. Affiliates shall not offer, promise, give, request, or accept any bribe, kickback, or improper advantage in connection with the Programme. Any breach of this provision shall entitle UNICONS to terminate the Affiliate's participation in the Programme with immediate effect and to recover any referral payments made.
9.2 Data Protection. Where an Affiliate processes the personal data of prospective students in connection with their referral activities (for example, by collecting names and contact details before directing students to the UNICONS Platform), the Affiliate shall comply with all applicable data protection laws, including UK GDPR and the Data Protection Act 2018. Affiliates shall process student personal data only to the minimum extent necessary for the referral purpose and shall not share such data with any third party without the student's explicit consent.
9.3 Advertising Standards. Affiliates shall comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) and, where applicable, the UK Code of Broadcast Advertising (BCAP Code), and any other applicable advertising standards authority rules in their jurisdiction.
9.4 Financial Promotions. Where any referral payment described to a prospective affiliate constitutes a financial promotion under the Financial Services and Markets Act 2000, the Affiliate shall not communicate such a promotion unless it has been approved by a person authorised by the Financial Conduct Authority, or an exemption applies.
9.5 Sanctions Compliance. Affiliates shall comply with all applicable UK and international financial sanctions, export controls, and asset freeze regulations. Affiliates shall not conduct any referral activity involving sanctioned countries, entities, or individuals.
10. Term, Termination, and Consequences of Breach
10.1 Term. Affiliate participation in the Programme shall commence on the date of acceptance of these Terms and shall continue until terminated by either party in accordance with this clause.
10.2 Termination by UNICONS for Convenience. UNICONS may terminate an Affiliate's participation in the Programme at any time upon fourteen (14) calendar days' written notice, without cause and without liability, other than payment of any referral fees that have already become due and payable under clause 5 in respect of completed Qualifying Referrals prior to the date of termination notice.
10.3 Immediate Termination for Breach. UNICONS may terminate an Affiliate's participation in the Programme with immediate effect (without notice or compensation) upon the occurrence of any of the following:
(a) Any breach by the Affiliate of the prohibited conduct provisions in clause 7;
(b) Any breach by the Affiliate of the student protection obligations in clause 8;
(c) Fraud, dishonesty, or wilful misrepresentation by the Affiliate in connection with the Programme;
(d) A breach of anti-bribery or sanctions compliance provisions;
(e) Any conduct by the Affiliate that, in UNICONS's reasonable opinion, is likely to bring UNICONS's reputation into disrepute; or
(f) Any material breach of these Terms which, where capable of remedy, the Affiliate has failed to remedy within seven (7) days of receiving written notice requiring it to do so.
10.4 Consequences of Termination. Upon termination of an Affiliate's participation: (a) the Affiliate shall immediately cease using the Referral Link, UNICONS branding, and all promotional materials relating to UNICONS; (b) all referral fees that have accrued in respect of Qualifying Referrals completed before the date of termination shall remain payable in accordance with clause 5, unless the termination is for fraud or misrepresentation, in which case UNICONS reserves the right to withhold or recover any unpaid referral fees; and (c) the Affiliate shall promptly delete or return any UNICONS confidential information in its possession.
10.5 Consequences of Breach. In addition to UNICONS's right to terminate, where a breach of these Terms causes loss or damage to UNICONS, any student, or any third party, UNICONS reserves the right to: (a) withhold or recover referral payments relating to referrals tainted by the breach; (b) seek damages and/or an injunction in accordance with applicable law; and (c) report the Affiliate's conduct to relevant regulatory authorities, including the Advertising Standards Authority, the Information Commissioner's Office, or law enforcement agencies where appropriate.
10.6 Termination by Affiliate. The Affiliate may terminate their participation in the Programme at any time upon fourteen (14) calendar days' written notice to UNICONS at enquiry@unicons.co.uk. Referral fees accrued before the notice date in respect of completed Qualifying Referrals shall remain payable.
11. Governing Law, Dispute Resolution, and General Provisions
11.1 Governing Law. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales.
11.2 Dispute Resolution. In the event of a dispute arising from these Terms or the Affiliate Agreement, the Affiliate shall first raise the matter in writing to UNICONS at enquiry@unicons.co.uk, setting out the nature of the dispute and the amount in question. UNICONS shall respond within ten (10) business days. The parties shall attempt to resolve the dispute through good faith negotiation. If unresolved after twenty (20) business days, either party may refer the dispute to the exclusive jurisdiction of the courts of England and Wales.
11.3 Entire Agreement. These Terms, together with any separately executed Affiliate Agreement, constitute the entire agreement between the parties in relation to the Programme and supersede all prior agreements, communications, and representations on the same subject matter.
11.4 Amendments. UNICONS reserves the right to amend these Terms at any time. Affiliates will be notified of material changes by email and/or by a notice on the UNICONS Platform with not less than fourteen (14) days' advance notice. Continued participation in the Programme after the amendment effective date shall constitute acceptance of the revised Terms.
11.5 Assignment. Affiliates may not assign, transfer, or sub-licence their rights or obligations under these Terms without UNICONS's prior written consent. UNICONS may assign its rights and obligations under these Terms to any successor entity or as part of a merger, acquisition, or reorganisation.
11.6 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be severed to the minimum extent necessary and the remaining provisions shall continue in full force and effect.
11.7 Waiver. No failure by UNICONS to enforce any provision of these Terms shall constitute a waiver of its right to enforce that provision in the future.
11.8 Notices. Notices under these Terms shall be sent by email to enquiry@unicons.co.uk (for UNICONS) and to the email address registered by the Affiliate on the UNICONS Platform (for the Affiliate). Email notices shall be deemed received on the date of transmission during normal business hours, and on the following business day if sent outside those hours.
11.9 Language. These Terms are written in the English language, which shall be the governing language of the agreement. Any translation is provided for convenience only and shall not affect the interpretation of the English-language original.
